1. Scope
These terms apply to every quote, order and agreement between ArrowEye and a client, unless we agree otherwise in writing. The client's own purchasing terms apply only if ArrowEye expressly accepts them. ArrowEye works for businesses and organisations; our services are not intended for consumers.
2. Quotes and prices
A quote is valid for thirty days. All prices are in euros and exclusive of VAT. Prices on the website are indicative prices for training courses and inspiration sessions; the quote or confirmation is binding. We charge travel costs only when the quote or the website says so.
3. Training courses and inspiration sessions
A registration is final after our written confirmation. The date, the location and the number of participants are stated in that confirmation. Replacing a participant with a colleague is always possible, up to the day itself.
Cancellation by the client: at no cost up to fourteen days before the date; between fourteen and seven days before the date you pay half; after that, the full amount. Moving to another date is possible once at no cost up to seven days in advance. If ArrowEye has to move a date (illness, force majeure), we propose a new date; if you do not want it, you pay nothing.
Training material (slides, exercises, skills and prompts we hand out) may be used internally and shared with your own team. It may not be resold or distributed publicly.
4. Transform programmes
A Transform programme starts with a discovery at a fixed price, as stated in the quote. The result, the roadmap with cost estimate, belongs to the client, even if nothing is built afterwards. The estimates in a roadmap (build days, impact, costs) are estimates based on what we learned in the discovery, not guarantees.
If the client decides to build, we work per month, in milestones as set out in the roadmap. Each month we invoice the days worked at the agreed pace. The client can stop the build at any time at the end of a month; what has been built by then is delivered and handed over. Maintenance (maintain) is a separate arrangement that can be terminated monthly.
The client provides the access, the licences and the cooperation of their people needed to do the work (interviews, feedback, approvals). Licences for platforms such as Microsoft 365, Copilot Studio or Claude are at the client's expense and are subject to the terms of those vendors.
5. Payment
Invoices are payable within thirty days of the invoice date. In case of late payment, interest is due by operation of law and without notice of default in accordance with the Belgian Act of 2 August 2002 on combating late payment in commercial transactions, plus fixed compensation of ten percent of the invoice amount with a minimum of 150 euros. An invoice must be disputed in writing within eight days of receipt.
6. Ownership of what we build
Skills, plugins, connectors and automations we build for the client run in the client's environment and become the client's property after full payment, including the configuration and the accompanying documentation (handover document, evaluation set, maintenance guide). ArrowEye retains the rights to its own working methods, templates, generic building blocks and know-how, and may reuse them with other clients, without the client's confidential information.
7. Confidentiality and data
Everything we learn about the client's business during an assignment we treat as confidential, during and after the assignment. We name a client on our website or in references only with their express consent. If we process personal data on behalf of the client, we conclude a data processing agreement for it. How we handle data is set out in our privacy policy and on our governance page.
8. Liability
ArrowEye performs every assignment to the best of its ability (best-efforts obligation). AI systems can make mistakes; that is why we test against an evaluation set before go-live and build in a human check where needed. The client remains responsible for the decisions they take on the basis of the output and for the use of the delivered skills and automations in their organisation.
ArrowEye's liability per assignment is limited to the amount the client paid for that assignment, with a maximum of the invoiced amount of the last three months in the case of monthly invoicing. ArrowEye is not liable for indirect damage, such as lost profit, loss of data managed by the client, or damage caused by changes to third-party platforms.
9. Force majeure
If a party cannot perform, or cannot perform on time, due to force majeure (illness, outage at a platform vendor, government measures), the deadlines are extended without compensation. If the force majeure lasts longer than two months, either party may terminate the agreement for the part not yet performed.
10. Governing law
Every agreement with ArrowEye is governed by Belgian law. In case of a dispute we first look for a solution together; if that fails, only the courts of the judicial district of ArrowEye's registered office have jurisdiction.
